The National Financial Market Commission recalls that, in accordance with the Law on Joint Stock Companies, the authorized capital of a joint stock company must be at least 600 thousand lei, starting from January 1, 2024. However, joint stock companies were granted a transition period, respectively, until the end of the current year, the minimum size of the authorized capital must be at least 360 thousand lei. The regulator also recalls that JSCs are required to ensure that the company's charter complies with the law, as well as comply with the principles of corporate governance enshrined in the relevant resolution of the NCFM. In particular, subjects of public importance are obliged to apply the Corporate Governance Code, and for other joint-stock companies, the approval of the Corporate Governance Code is advisory in nature.
