At a press conference on Thursday, she expressed surprise at the publication of an announcement in the CNPF newspaper Capital Market about the convening of an extraordinary shareholders' meeting scheduled for June 6 in absentia. "In accordance with the law, a meeting may be convened by a shareholder holding at least 5% of the shares, whereas in the announcement, the meeting is convened by a shareholder holding 25 shares (not a percentage). Topaz has a total of 408 shareholders, of which 407 are individuals, minority shareholders, and 97.73% of the shares are held by United Engine Corporation (UEC, Russia)," she emphasized. According to her, the Public Services Agency refused to register the new composition of the Board of Directors and refused to register Mr. Yuksel Maxim Onur as the new CEO. Thus, in accordance with current legislation, Inna Linnik remains the administrator of the enterprise and, together with the materially responsible employees, bears material responsibility for the preservation of the assets of the Topaz joint venture. However, in practice, neither she nor her employees are allowed into the plant and they are unable to fulfill their obligations. Inna Linnik reported that the National Financial Market Commission (CNPF) had accepted a package of documents from her proving the violation of the law, a statement requesting verification of the legality of the convening of the shareholders' meeting and the publication of the relevant announcement, and expects the CNPF to make a decision before the date of the announced meeting. Otherwise, the conflict will escalate into litigation and drag on for years, while the plant's assets, valued at no less than 400 million lei, could be sold off.
