The legislation will be amended to prevent fraud when registering changes in the constituent acts of enterprises.
The relevant legislative initiative was considered on Wednesday by the parliamentary commission on legal issues, appointments and immunity. According to the draft, it is proposed to supplement the Law on State Registration of Legal Entities and Individual Entrepreneurs, namely, in the article concerning the registration of changes made to the constituent documents in the event of alienation or acquisition of a share of the authorized capital. So, to register such changes made to State register, the parties will have to submit to the state registration body not only the established package of documents, but also a notarized legal act on alienation / acquisition, or a court decision or certificate of inheritance. If it refers to the alienation of a majority share in the authorized capital of an enterprise, its owner will be able to recall the manager, reflecting this in the protocol, which must also be registered. The parties are obliged to submit all supporting documents for registration of changes within 15 days from the date of the decision to amend the constituent acts or data. The authors of the project note that the amendments were initiated after numerous complaints and identified cases of evasion from making changes to the data entered in the State Register, when alienating or acquiring the authorized capital of an enterprise.
