On January 10, 2022, amendments to the Law on State Registration of Legal Entities and Individual Entrepreneurs, the Law on Joint Stock Companies, etc. came into force. The so-called package of laws “on the digitalization of the economy” provides for the facilitated use of an electronic signature and remote digital interaction for processing and changing documents. However, along with the many benefits, the changes come with a number of risks. Representatives of the American Chamber of Commerce met with representatives of the Department of Registration and Licensing of Legal Units of the Public Services Agency (PSA) to discuss a number of practical aspects related to the implementation of changes related to the procedure for state registration of legal units: exclusion of authentication of constituent documents of commercial companies; exclusion of authentication of the legal document of alienation/acquisition of a share in the authorized capital of limited liability companies; submission of documents for state registration in electronic format; verification by the state registration authority of the availability of notices or permits by exchanging data in an automated mode with the relevant issuing authority; issuance in electronic format of decisions taken by the state registration authority, as well as information from the State Register. According to the press service of the Public Services Agency, the meeting participants welcomed the benefits of legislative changes that will facilitate remote interaction with registration authorities. Herewith, in the context of the exclusion of authentication of the legal document for the alienation/acquisition of a share in the authorized capital of companies, representatives of business and Public Services Agency expressed concern about the risk of forgery and, as a result, an increase in the number of long-term disputes in this area. The parties discussed a number of proposals, agreeing on permanent cooperation for the correct application of the provisions of this law.
